Terms of Service
The agreement, in language you can actually read.
What we provide, what you pay, who owns what, and how either side ends it. No capitals, no burying the important part.
01What this is
These terms are the agreement between you — the business using the service — and Kinetel. Creating an account means accepting them. If you are accepting on behalf of a company, you are confirming you are allowed to.
They took effect on 10 August 2026. If we change anything that materially affects you, we will tell you by email before it takes effect, not by quietly editing this page.
02What we provide
Kinetel is warehouse management software: inventory and lot tracking, barcodes, picking, packing, shipping, purchasing, and — depending on your plan — AI order parsing, product matching, demand forecasting, a copilot, and shipment verification.
We provide it as it is described on this website at the time you subscribe. We will keep improving it, and we may change how individual features work. What we will not do is remove a capability your plan is sold on without telling you first and giving you a way out.
03The trial
New accounts get 14 days with every capability switched on. No card is required to start, and you will not be charged anything unless you choose a plan.
When the trial ends without a subscription your account becomes read-only. You keep everything you entered and can read and export all of it; you cannot take on new work until you pick a plan. We do not delete your data and we do not lock you out of your own records.
04Plans, payment and changes
Plans are billed monthly in advance through Stripe. Prices are those shown on the pricing page at the time you subscribe.
- Upgrading takes effect immediately and is prorated. The new AI credit allowance applies straight away.
- Downgrading takes effect at the end of the current billing period, so you keep what you have already paid for.
- Cancelling stops the next charge. You keep access until the end of the period you have paid for, after which the account goes read-only.
- AI credits refill each billing cycle and do not roll over. Running out pauses the AI features; the rest of the warehouse keeps working.
If a payment fails we will retry it and tell you. If it keeps failing, the account goes read-only rather than being deleted — see ending the agreement.
Prices are exclusive of sales tax and any other tax we are required to collect. Where tax applies to your subscription it is added at checkout and shown on your invoice.
We can change our prices. Existing subscribers get at least 30 days' notice by email before a change applies to them, and you can cancel before it takes effect.
05Refunds
The trial exists so that you can find out whether this works for you before paying, so we do not routinely refund a month you have used.
That said: if the service was materially broken for you, or you were charged after cancelling, or something went wrong on our side — write to us and we will make it right. We would rather refund a month than argue about one.
06Your data is yours
You own everything you put into Kinetel — your catalogue, inventory, orders, customers and history. We claim no ownership of it. We process it to run the service for you, and for nothing else.
You can export all of it as CSV or through the REST API, at any time, on every plan including a lapsed one. Leaving should be a decision about the product, not a hostage negotiation.
What we do with it, who else can see it, and how long we keep it are set out in the privacy policy, which forms part of these terms.
07What you agree not to do
Short list, and none of it should be surprising:
- Do not break the law with it, or use it to store or move anything illegal.
- Do not try to access another customer's data, or probe the service for a way to.
- Do not resell access, or share one account across separate businesses to avoid paying for seats.
- Do not attempt to overwhelm the service, or work around the rate limits and credit allowances.
- Do not upload malware, or content you have no right to.
Security research is welcome, and we will not threaten anyone acting in good faith — tell us what you found at support@kinetel.io before disclosing it publicly.
08How to treat the AI features
The AI features — parsing, matching, forecasting, the copilot and shipment verification — produce suggestions. They are usually right and they are sometimes wrong, which is why every one of them shows its reasoning and can be overridden.
You stay responsible for what you ship and what you order. Do not treat a forecast as a purchase authorisation, or a GREEN verification as a guarantee that a box is correct. Every AI feature has a manual path that still works, and nothing critical to running the warehouse sits behind a model call.
09Availability
We work hard to keep the service up and we will tell you when something is wrong. We do not currently offer a contractual uptime guarantee, and we would rather say so than publish a number we have not committed to measuring.
Planned maintenance that will interrupt service is announced in advance. If you need a formal service level, that is one of the things worth talking to us about.
10Liability
The service is provided without warranties beyond those that cannot legally be excluded. We do not warrant that it will be uninterrupted or error-free.
Neither side is liable to the other for indirect or consequential losses — lost profits, lost business, lost data that you could have exported. Our total liability to you for any claim is limited to the amount you paid us in the twelve months before the claim arose.
Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.
11Ending the agreement
You can cancel at any time from your account settings. You do not need to ask us, and nobody will try to talk you out of it on a call.
We can suspend or end an account that breaches these terms, or that has not paid. Where we can, we will tell you first and give you a chance to fix it. Suspension for non-payment means read-only — your data stays, and you can still export it.
After an account ends we keep the data for at least 90 days so you can retrieve it, and we will delete it sooner if you ask. See retention.
12The rest
These terms are governed by the laws of the State of Texas, United States, and its courts have jurisdiction over any dispute.
If a clause turns out to be unenforceable, the rest still stands. Not enforcing something once does not mean giving it up. You may not transfer this agreement without our consent; we may transfer it if the business is sold, and we will tell you if that happens.
These terms and the privacy policy are the whole agreement between us about the service.
